Client situations typically fall into two categories:

New exposure, requiring structure

A principal evaluating or committing capital and needing the local setup to be structured properly from the outset:


legal architecture, governance, reporting lines, and coordination across advisors and counterparties.

Existing exposure, requiring control​

A principal with an existing Polish operation, asset base, or local structure that is not reporting clearly, not governed to the right standard, or no longer giving the owner sufficient visibility and control.

WHAT WE DO

Quell One provides independent fiduciary oversight for private principals operating across borders.

In practice, that means acting as the client’s independent senior representative in Poland: designing the structure, coordinating the local advisor ecosystem, institutionalising reporting and governance, and maintaining ongoing owner-side oversight.

The work falls into three layers:

Structural Design

Before capital is committed, the local architecture needs to work. We help design the entity structure, governance framework, reporting lines, regulatory positioning, and contractual relationships that connect the principal’s objectives to the local operating reality.

Implementation and Institutionalisation

A structure only matters if it is implemented properly. We coordinate the setup: entities, providers, reporting, governance processes, and the operating framework required to make the structure function in practice.

Ongoing Fiduciary Oversight

Once a structure is live, the greater value comes from continuity: supervisory oversight of local operations, reporting that gives the owner clarity, coordination of local providers, and early identification of issues before they become costly.

HOW WE WORK

The Typical Engagement Are:

Most engagements begin with a defined situation: a market entry, acquisition, restructuring, governance issue, or existing operation requiring independent review.

The initial conversation is diagnostic.
We assess what is at stake, where control gaps sit, and whether a fiduciary oversight layer is the right response.
Not every situation requires one.

The first 90 days typically produce:
A structural recommendation covering entity design, governance, and reporting
A functioning reporting line from the local operating reality to the principal

FROM PROJECT TO ONGOING OVERSIGHT

Once the structure is in place, many engagements move into a recurring oversight role: supervisory review, owner-level reporting, coordination of local advisors, and early identification of issues.The objective is not dependency. We build systems and governance that should survive our departure, while providing the senior oversight needed to ensure those systems actually work.

FEES

Fees are structured around scope, complexity, and the intensity of oversight required. Scoped projects are typically agreed on a fixed-fee basis. Ongoing mandates are typically structured as retainers. We do not receive commissions or referral fees from law firms, accountants, operators, or other service providers. Our only economic relationship is with the client.

EXPERIENCE

Turnaround of an under-governed Polish operation for a foreign owner

A foreign entrepreneur had revenue-generating operations in Poland but limited reporting, weak governance, and no independent oversight of local management. We redesigned the structure, assumed a senior coordinating role, and built a reporting framework that gave the owner clear visibility into performance, cash deployment, and operational issues.​

Cross-border regulatory localisation project

A regulated international asset management business required a coordinating layer between its existing framework and the Polish legal and supervisory environment. We managed the localisation process across legal, regulatory, and commercial workstreams, ensuring that the structure developed coherently rather than piecemeal.

Board-level financial oversight and interim CFO work

Experience includes interim CFO work in a business with approximately PLN 200M in revenue, introduction of management reporting for supervisory purposes, and financial modelling and performance analysis used by shareholders and boards to improve visibility into capital deployment.
